ACCEPTANCE OF TERMS

These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between Abundance Global Petroleum F.Z.E., a company incorporated under the laws of the United Arab Emirates with its registered office in the Ajman Free Zone ("Company", "AGP", "we", "us", or "our"), and any individual or legal entity ("User", "you", or "your") who accesses, browses, registers on, purchases access through, or otherwise uses the website agp.company (the "Site") or any service, content, feature, or paid access offered by AGP (collectively, the "Services").

BY ACCESSING OR USING THE SITE OR ANY SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS IN THEIR ENTIRETY. IF YOU DO NOT AGREE, YOU MUST IMMEDIATELY CEASE ALL USE OF THE SITE AND SERVICES.

We may amend these Terms at any time. Updated Terms become effective upon posting on the Site. Your continued use of the Site or Services after posting constitutes acceptance of the updated Terms.

DESCRIPTION OF SERVICES; DIGITAL DELIVERY

AGP provides proprietary market analytics, commodity price information, market commentary and related informational content ("Content") delivered primarily by electronic means. Services may include, without limitation: the AGP Desk Daily Bulletin (digital / PDF); analytical reports; intelligence summaries; desk commentary; educational materials; and consulting or advisory services offered separately under distinct engagement terms or agreements.

All Services are digital in nature. AGP does not ship physical goods through the Site.

The scope, format, frequency, and delivery methods of Services may change at any time, subject to applicable law and the provisions of our Refund Policy and Delivery Policy, where relevant.

INFORMATIONAL PURPOSE ONLY; NOT INVESTMENT ADVICE; NO OFFER OR SOLICITATION

THE CONTENT, DATA, ANALYTICS, REPORTS, COMMENTARY, AND ALL OTHER MATERIALS PROVIDED BY AGP ARE PROVIDED SOLELY FOR GENERAL INFORMATIONAL AND EDUCATIONAL PURPOSES. NOTHING PROVIDED BY AGP CONSTITUTES, OR SHALL BE CONSTRUED AS, INVESTMENT ADVICE, FINANCIAL ADVICE, TRADING ADVICE, LEGAL ADVICE, TAX ADVICE, OR ANY OTHER REGULATED PROFESSIONAL ADVICE.

NOTHING ON THE SITE OR IN ANY SERVICE CONSTITUTES AN OFFER TO SELL OR A SOLICITATION TO BUY ANY COMMODITY, SECURITY, FINANCIAL INSTRUMENT, OR INVESTMENT PRODUCT, NOR AN OFFER TO ENTER INTO ANY TRANSACTION. ANY TRANSACTION, IF ANY, IS SUBJECT TO SEPARATE DOCUMENTATION AND COUNTERPARTY DUE DILIGENCE.

AGP does not represent itself as licensed or authorised to provide investment advice or regulated financial services in any jurisdiction. Any forward-looking statements are general observations and may be incorrect.

YOU ACKNOWLEDGE THAT YOU USE THE CONTENT AT YOUR OWN RISK AND THAT YOU ARE RESPONSIBLE FOR YOUR OWN DECISIONS AND FOR OBTAINING INDEPENDENT PROFESSIONAL ADVICE WHERE APPROPRIATE.

ELIGIBILITY; SANCTIONS; COMPLIANCE

You represent and warrant that: (a) you are at least eighteen (18) years old (or the age of majority in your jurisdiction); (b) you have full legal capacity and authority to enter into this Agreement; (c) your use of the Services does not violate any applicable law, regulation, or sanction; (d) you are not located in, incorporated in, or acting on behalf of any person or entity in a jurisdiction subject to sanctions administered by the United Nations, the United States OFAC, the European Union, or the United Arab Emirates; and (e) all information you provide to AGP is accurate and current.

We may refuse, restrict, suspend, or terminate access (including preventing delivery) where we reasonably suspect fraud, abuse, policy violation, chargeback risk, unlawful use, or compliance risk.

ACCOUNT, ACCESS WINDOW, AND USER RESPONSIBILITIES

Some Services may require registration and the use of an email address for delivery. You are responsible for maintaining the security of your email account, ensuring deliverability (including spam filters and safe-sender settings), and keeping your contact information up to date.

Paid access (where applicable) is provided for the applicable access window described at the point of purchase or in the relevant Service description. The AGP Desk Daily Bulletin is offered as a one-time day-pass / daily bulletin purchase (not a subscription), unless expressly stated otherwise in writing by AGP.

INTELLECTUAL PROPERTY; INTERNAL USE ONLY; NO REDISTRIBUTION; NO RESALE

All Content and all intellectual property made available through the Site or Services (including data, analytics, reports, PDFs, text, design, trademarks, and databases) (collectively, "AGP IP") is owned by AGP or its licensors and is protected by applicable intellectual property laws.

Subject to payment of applicable fees (where applicable), AGP grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Content solely for your own internal business or personal research purposes during the applicable access window.

You may not, and you agree not to, directly or indirectly: copy, reproduce, scrape, harvest, retransmit, redistribute, publicly display, publish, sell, resell, share, sublicense, or otherwise make any Content available to any third party; create derivative works; or use Content to train, fine-tune, or operate any automated system, model, or dataset for third-party benefit, without AGP’s prior written consent.

All Content is for internal use only. No redistribution or resale. Any unauthorised use may result in immediate suspension or termination and legal action.

PAYMENTS; BILLING DISPUTES; CHARGEBACKS; ANTI-FRAUD

Payments may be processed by third-party payment processors. AGP does not store card details or full payment credentials.

If you believe a charge is incorrect or a Service was not delivered, you must contact support at support@agp.company before initiating a chargeback or payment dispute. We will investigate and attempt to resolve legitimate issues in good faith.

Where a chargeback is initiated without first contacting support, or where we reasonably believe a dispute is abusive or fraudulent, we may suspend or terminate access and contest the dispute using delivery logs, account activity records, and processor evidence. Refunds, if any, are governed exclusively by the Refund Policy.

PROHIBITED CONDUCT

You agree not to: (a) redistribute or resell Content; (b) use bots, scrapers, crawlers, automated extraction tools, or bulk downloading; (c) bypass access controls or security; (d) use the Site or Services for unlawful activity (including market manipulation, fraud, money laundering, sanction evasion); (e) impersonate AGP or any person; (f) introduce malware; or (g) interfere with the Site’s operation.

THIRD-PARTY LINKS

The Site may contain links to third-party websites. Links are provided for convenience only. AGP does not control third-party content and is not responsible for it. Access is at your own risk and subject to third-party terms.

DISCLAIMER OF WARRANTIES

THE SITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, AGP DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OR COMPLETENESS OF CONTENT OR DATA.

AGP DOES NOT WARRANT UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE OPERATION OR DELIVERY. MARKET DATA MAY BE INCOMPLETE, DELAYED, OR SUBJECT TO ERROR.

LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL AGP OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITIES, OR ANY TRADING OR INVESTMENT LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SITE OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

AGP’S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO AGP IN THE THREE (3) CALENDAR MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain limitations. In such cases, limitations apply to the fullest extent permitted by applicable law.

INDEMNIFICATION

You agree to indemnify and hold harmless AGP and its affiliates, officers, directors, employees, and agents from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Services; (b) your breach of these Terms; (c) your violation of law; or (d) your infringement or misuse of AGP IP.

GOVERNING LAW; DISPUTE RESOLUTION

These Terms are governed by the laws of the United Arab Emirates and, to the extent applicable, the regulations of the Ajman Free Zone Authority. Parties shall first attempt to resolve disputes through good-faith negotiation. If unresolved, disputes shall be subject to the exclusive jurisdiction of the competent courts of the United Arab Emirates.

SEVERABILITY; ENTIRE AGREEMENT

If any provision is held invalid or unenforceable, the remaining provisions remain in full force. These Terms, together with the Privacy Policy, Refund Policy, and Delivery Policy, and any written engagement terms provided by AGP for specific Services, constitute the entire agreement between you and AGP regarding the Services.
