ACCEPTANCE OF TERMS

These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between Abundance Global Petroleum F.Z.E., a company incorporated under the laws of the United Arab Emirates with a registered office in the Ajman Free Zone ("Company", "AGP", "we", "us", or "our"), and any individual or legal entity ("User", "you", or "your") who accesses, browses, registers on, or otherwise uses the website agp.company (the "Site") or any service, product, paid access, content, or feature offered therein (collectively, the "Services").

BY ACCESSING OR USING THE SITE OR ANY SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS IN THEIR ENTIRETY. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST IMMEDIATELY CEASE ALL USE OF THE SITE AND SERVICES.

We reserve the right to amend, modify, or replace these Terms at any time at our sole discretion. Amended Terms become effective upon posting to the Site. Your continued use of the Services following such posting constitutes your acceptance of the amended Terms. We recommend reviewing these Terms periodically.

DESCRIPTION OF SERVICES

AGP provides proprietary market analytics, commodity price information, market commentary, and related informational content ("Content") delivered primarily via electronic means. Services may include, without limitation: the AGP Desk Daily Bulletin (digital / PDF); analytical reports; market intelligence summaries; desk commentary; educational and informational materials; and consulting or advisory services offered separately under distinct engagement terms or engagement agreements.

The scope, format, frequency, and delivery of Services may be modified by AGP at any time without prior notice, subject to applicable law and the provisions of our Refund Policy and Delivery Policy, where relevant.

THE CONTENT, DATA, ANALYTICS, REPORTS, COMMENTARY, AND ALL OTHER MATERIALS PROVIDED BY AGP THROUGH THE SITE OR ANY SERVICE ARE PROVIDED SOLELY FOR GENERAL INFORMATIONAL AND EDUCATIONAL PURPOSES. NOTHING CONTAINED IN OR DELIVERED THROUGH AGP SERVICES CONSTITUTES, OR SHALL BE CONSTRUED TO CONSTITUTE, INVESTMENT ADVICE, FINANCIAL ADVICE, TRADING ADVICE, LEGAL ADVICE, TAX ADVICE, OR ANY OTHER FORM OF REGULATED PROFESSIONAL ADVICE.

AGP does not hold, and does not represent itself as holding, any licence or authorisation to provide investment advice, financial services, or commodity trading advisory services under the laws of the United Arab Emirates, the United Kingdom, the European Union, the United States of America, or any other jurisdiction.

All price data, market commentary, analytical content, and any forward-looking statements reflect proprietary methodologies and general market observations. They do not take into account the specific investment objectives, financial situation, risk appetite, or individual needs of any User.

YOU ACKNOWLEDGE AND AGREE THAT: (A) AGP MARKET DATA AND ANALYTICS ARE NOT A SUBSTITUTE FOR INDEPENDENT PROFESSIONAL ADVICE; (B) ALL DECISIONS TO TRADE, INVEST, OR TRANSACT IN ANY COMMODITY, SECURITY, OR FINANCIAL INSTRUMENT ARE MADE AT YOUR OWN RISK; (C) PAST MARKET DATA DOES NOT GUARANTEE FUTURE RESULTS; AND (D) ALL MARKET DATA AND ANALYTICS ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ACCURACY, COMPLETENESS, OR FITNESS FOR ANY PARTICULAR PURPOSE.

ELIGIBILITY; COMPLIANCE; PROHIBITED USE

To access and use the Services, you represent and warrant that: (a) you are at least eighteen (18) years of age or the age of legal majority in your jurisdiction, whichever is greater; (b) you have the full legal capacity and authority to enter into a binding agreement; (c) your use of the Services does not violate any applicable law, regulation, or international sanction; (d) you are not located in, incorporated in, or acting on behalf of any person or entity in a jurisdiction subject to sanctions administered by the United Nations Security Council, the United States OFAC, the European Union, or the United Arab Emirates; and (e) all registration information you provide is accurate, current, and complete.

AGP reserves the right to refuse or restrict access to any User, at its sole discretion, including where AGP reasonably suspects fraud, abuse, policy violation, chargeback risk, or unlawful use.

DIGITAL DELIVERY; NO GUARANTEE OF AVAILABILITY

Services are delivered digitally. Delivery schedules (including references to "business days") are described in the Delivery Policy and may be affected by force majeure events, email deliverability issues outside AGP control, or technical interruptions. AGP does not guarantee uninterrupted or error-free access to the Site or delivery systems.

INTELLECTUAL PROPERTY; LICENCE; INTERNAL USE ONLY; NO REDISTRIBUTION

All Content, data, analytics, reports, designs, trademarks, service marks, trade names, databases, software, source code, and other materials made available through the Site or Services (collectively, "AGP IP") are the exclusive property of AGP or its licensors and are protected by applicable copyright, trademark, database right, and other intellectual property laws.

Subject to payment of applicable fees (where applicable), AGP grants each User a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Content solely for that User's own internal business or personal research purposes during the applicable access window.

This licence does not include any right to: reproduce, copy, scrape, harvest, transmit, redistribute, publicly display, or distribute Content to any third party; create derivative works based on the Content; use the Content for any commercial purpose other than the User's own internal analysis; or store or cache Content in any retrievable database or system.

All Content and Services are provided for internal use only. No redistribution or resale is permitted unless expressly authorised in writing by AGP. AGP may monitor for unauthorised redistribution and may suspend or terminate access where misuse is suspected.

PAYMENT; CHARGEBACKS; ANTI-FRAUD

Payments may be processed through third-party payment providers. AGP does not store card data. If you believe a charge is incorrect, you must contact support before initiating a chargeback so we can investigate and attempt resolution. Unjustified or abusive chargebacks may result in suspension or termination of access and may be contested using provider evidence, delivery logs, and account activity records. Refunds, if any, are governed exclusively by the Refund Policy.

PROHIBITED CONDUCT

You agree that you shall not, directly or indirectly: (a) redistribute, resell, sublicence, or otherwise commercialise any Content to any third party without prior written consent of AGP; (b) use automated tools, bots, scrapers, crawlers, or any other means to access, download, or aggregate Content from the Site; (c) circumvent, disable, or otherwise interfere with security features of the Site; (d) use the Services to facilitate market manipulation, insider trading, fraud, money laundering, sanction evasion, or any other unlawful activity; (e) impersonate AGP, its employees, or any other person; (f) transmit viruses, malware, or other harmful code to or through the Site; or (g) use the Services in any manner that could damage, overburden, or impair the Site's infrastructure.

THIRD-PARTY LINKS AND CONTENT

The Site may contain links to third-party websites, resources, or services. Such links are provided for convenience only and do not constitute an endorsement by AGP of the linked content, products, services, or their providers. AGP has no control over third-party content and accepts no responsibility or liability for it. Access to third-party websites is at your own risk and subject to the terms and conditions of those websites.

DISCLAIMER OF WARRANTIES

THE SITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AGP EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO: WARRANTIES OF MERCHANTABILITY; FITNESS FOR A PARTICULAR PURPOSE; NON-INFRINGEMENT; ACCURACY, COMPLETENESS, OR TIMELINESS OF ANY CONTENT OR DATA; UNINTERRUPTED OR ERROR-FREE OPERATION OF THE SITE; AND THAT THE SITE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

AGP makes no warranty that market data or analytics will be accurate, complete, up-to-date, or suitable for any particular trading, investment, or business decision.

LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AGP, ITS DIRECTORS, OFFICERS, SHAREHOLDERS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY: (A) INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; (B) LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES; (C) TRADING LOSSES OR INVESTMENT LOSSES OF ANY NATURE; (D) LOSSES ARISING FROM RELIANCE ON INACCURATE OR INCOMPLETE MARKET DATA; OR (E) ANY OTHER LOSSES ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICES — EVEN IF AGP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE).

AGP's total aggregate liability to any User, from all causes of action and all theories of liability, shall be limited to the total amount paid by that User to AGP in the three (3) calendar months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. To the extent such exclusions or limitations are not permitted under applicable law, they apply to the fullest extent permitted.

INDEMNIFICATION

You agree to indemnify, defend, and hold harmless AGP and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any claim by a third party arising from your use of the Content.

GOVERNING LAW AND DISPUTE RESOLUTION

These Terms are governed exclusively by the laws of the United Arab Emirates and, to the extent applicable, the regulations and rules of the Ajman Free Zone Authority. Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be resolved through good-faith negotiation between the parties. If negotiation fails, disputes shall be subject to the exclusive jurisdiction of the competent courts of the United Arab Emirates.

SEVERABILITY AND ENTIRE AGREEMENT

If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, the remaining provisions shall continue in full force and effect. These Terms, together with the Privacy Policy, Refund Policy, Delivery Policy, and any additional service-specific terms provided by AGP in writing, constitute the entire agreement between you and AGP with respect to the subject matter hereof and supersede all prior agreements and understandings.
